(hereinafter referred to as the "Seller")
1. Introductory provisions
1.1. These General Terms and Conditions (hereinafter referred to as "GTC") govern the contractual relations between HEPHIONtech a.s. as the Seller and its business partners (hereinafter referred to as the "Buyer") in the supply of goods.
1.2. The GTC form an integral part of all offers, orders, order confirmations, and purchase contracts between the Seller and the Buyer, unless the contracting parties expressly agree otherwise.
1.3. By confirming the order or otherwise expressing consent to performance in accordance with the offer, the buyer expressly confirms their agreement with these GTC.
2. Subject matter of performance
2.1. The Seller specializes in the supply of technical products for industrial use, in particular consumable parts for cutting metallurgical materials, materials and parts for welding, protective work equipment, and other related products (hereinafter referred to as "Goods").
2.2. Goods are delivered based on individual requests from the Buyer and specific offers prepared by the Seller. All deliveries are subject to a confirmed order and are carried out under the conditions specified in these GTC, unless otherwise agreed in the contract.
3. Orders and conclusion of contract
3.1. The Buyer shall send the Seller a non-binding inquiry, on the basis of which the Seller shall prepare a price and delivery offer. The contract shall be concluded only upon binding confirmation of the order by the Seller. The Seller reserves the right to change or revoke the offer at any time prior to confirmation of the order.
3.2. The Buyer's order must contain the exact specification of the required goods, quantity, destination, and any other relevant information necessary for its processing. The Seller reserves the right not to accept incomplete or unclear orders.
4. Prices and payment terms
4.1. The prices of goods are listed in the offer and/or order confirmation. Unless otherwise stated, prices are listed without VAT, EXW according to INCOTERMS 2020, Seller's warehouse.
4.2. The goods are invoiced when they are ready for collection by the Buyer or for shipment via the agreed transport company.
4.3. Unless otherwise agreed in the contract, the Goods shall be delivered only after payment of an advance invoice in the amount of 100% of the price of the ordered Goods.
4.4. Invoices are due within 14 days of the invoice date, unless otherwise agreed in the contract.
4.5. Delay in payment of the invoice entitles the Seller to charge contractual interest on late payment at a rate of 0.05% of the amount due for each day of delay.
5. Terms of delivery
5.1. The goods are delivered according to the agreement between the parties to the destination specified by the Buyer. The costs of transport and insurance are paid by the Buyer, unless otherwise agreed.
5.2. The risk of damage to the Goods passes to the Buyer at the moment of handing over the Goods to the first carrier or upon acceptance of the Goods by the Buyer.
5.3. The Buyer is obliged to inspect the Goods without undue delay after receipt and to notify the Seller of any defects within 3 working days at the latest.
6. Reservation of title
6.1. The goods remain the property of the Seller until the purchase price has been paid in full.
6.2. If the Buyer transfers the Goods to another entity that is in good faith about the acquired ownership before the purchase price has been paid in full, the Buyer shall be liable for any damage incurred by the Seller as a result of this action.
7. Liability and claims
7.1. The Seller is liable for defects in the Goods in accordance with applicable law.
7.2. Complaints must be submitted in writing with a detailed description of the defect, including photographic documentation, if possible.
8. Force majeure
8.1. The seller shall not be liable for any delay or failure to perform caused by events of force majeure (e.g., natural disasters, supplier failures, wars, pandemics, government restrictions, etc.).
9. Law and jurisdiction
9.1. These GTC and all legal relations between the Seller and the Buyer are governed by the laws of the Czech Republic, excluding conflict of law rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG).
9.2. All disputes arising from or in connection with the contractual relationship shall be settled by the courts having jurisdiction over the Seller's registered office.
10. Changes to the Terms and Conditions
10.1. The Seller is entitled to unilaterally amend or supplement these GTC. The new version of the GTC will be published on the Seller's website and will take effect on the date of publication, unless otherwise specified.
10.2. For all business relationships entered into after the publication of the new version of the GTC, the current version of the GTC shall always apply.
11. Privacy Policy
11.1. The Seller processes the Buyer's personal data in accordance with applicable legislation, in particular Regulation (EU) 2016/679 of the European Parliament and of the Council (GDPR). Detailed information on the method of personal data processing and the rights of data subjects is provided in a separate Privacy Policy, which is available on the Seller's website.
12. Final provisions
12.1. If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall remain valid.
12.2. The buyer agrees to the processing of their data for the purposes of fulfilling the contract and in accordance with applicable legal regulations.
12.3. By concluding the purchase contract (first order), the Buyer agrees to receive commercial communications and informational newsletters from the Seller concerning similar products and services. The Buyer may revoke this consent at any time free of charge by clicking on the unsubscribe link in each email or by sending a request to the Seller's email address.
12.4. This version of the General Terms and Conditions (version 1.0) shall take effect on October 1, 2025, and supersedes all previous versions.
